Shearman & Sterling established its presence in Italy in 2002 with the opening of the Rome office. Since then, the firm’s Italian practice has grown steadily and now offers dual Italian and US law capability, focusing mainly on private and public mergers and acquisitions, international joint ventures, equity and debt offerings, including high yield offerings, privatizations and general corporate work. With the recent addition of new senior lawyers, the Italian offices also offer full coverage in the leveraged finance and restructuring areas. In addition, we advise financial institutions and other financial market participants, including banks and investment banks, fund managers, custodians, exchanges, clearing houses and corporate end users, on a range of regulatory and compliance issues and proprietary transactional and investigations matters. Further, the firm's international arbitration practice has established a physical presence in Italy, and we offer Italian antitrust coverage through a counsel located in Rome, Milan and Brussels.

Northern Italy is one of the most dynamic economic environments in Europe, accounting for more than 50% of the GDP of the Italian economy. Milan, with its manufacturing, banking and financial, fashion and design industries, is the epicenter of this region and the seat of the Italian stock exchange, making it one of the world's major financial and business centers. In January 2010, Shearman & Sterling expanded its coverage of Italy with the opening of its second Italian office in Milan.

Shearman & Sterling’s Italy-based lawyers advised on many of the largest, most complex and most innovative transactions completed in the Italian market in recent years, including various market firsts. For example, our Italian capital markets team has acted as underwriters’ counsel in the €3.5 billion rights offering of Snam Rete Gas, the €4 billion and the €7 billion rights offerings of UniCredit and the €2.3 billion initial public offering of Enel Green Power. Recent significant Italian representations include advising GE in its $4.3 billion acquisition of the aviation business of Avio S.p.A., an Italian manufacturer of aviation propulsion components and systems for civil and military aircraft.

Shearman & Sterling ranked third among all firms practicing in Italy—and first among international firms—in Thomson Reuters’ Italy mergers and acquisitions ranking for 2012.

Shearman & Sterling's Milan-based lawyers advise Italian and international clients, working with lawyers in the firm's Rome office as a single, integrated team, as well as with Shearman & Sterling lawyers in the rest of Europe, the Americas and Asia. All resident lawyers are fluent in Italian, and all of our Italian-trained associates hold degrees from law schools in the United States. The Milan office provides clients with local capability combined with the quality, broad experience and talent that clients expect from us.
