Capital Markets

For more than 100 years, our Capital Markets practice has been involved with some of the largest, most sophisticated and most innovative capital-raising transactions for both companies and financial institutions.  We’ve played a significant role in shaping the legal practices that govern the development and diversification of capital markets, especially for high-yield bonds.  Widely recognized for our problem-solving capabilities, broad transactional experience and multi-jurisdictional coverage, we work with regulatory agencies, including the SEC, to help our clients navigate complex regulatory and corporate governance issues.

We combine our deep knowledge and experience in capital markets transactions with a broad global presence and full-service capabilities under US, UK, German, Hong Kong and French law.  In addition to North America, our lawyers have been active in Latin America in debt and equity transactions for governments, state-owned enterprises and emerging private companies, Europe (including transactions related to region's recent financial crisis), and Asia (including some of the largest deals in the region's history).

For example:

We advised the underwriters on the $11 billion shelf takedown of global notes by Petrobras Global Finance B.V. This is reportedly the largest emerging markets bond offering in history.

“One of the reasons I came to Shearman was because of the firm’s top-notch Latin American Capital Markets practice, and the nine years I’ve spent here thus far have more than surpassed my expectations. During my time, I’ve worked on some of the most noteworthy transactions in the region for a variety of issuers ranging from world-leading oil producers, to sovereign states, to lesser-known companies making their debuts in the international capital markets. These transactions, coupled with the privilege of working with renowned lawyers such as Antonia Stolper, Stuart Fleischmann and Manuel Orillac, provide a rewarding and exciting work environment where every day offers a different opportunity, whether I’m in New York or on a plane to Chile, Argentina, Peru, Colombia, Paraguay or Mexico - to name a few of the countries where my practice has taken me. ”
